Terms of Service

1. Acceptance of Terms

By accessing or using the Eminent Artists Agency (“EAA”, “we”, “our”, “us”) website, mobile application, or any related services (collectively, the “Services”), you (“User,” “Artist,” “Supporter,” or “Customer”) agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, you must discontinue use of the Services immediately.

If you are accessing the Services on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms.

2. Definitions

For purposes of these Terms:

  • “Artist” or “Creator” means any individual or entity using the Services to display, sell, or promote creative works, merchandise, or events.

  • “Supporter” or “Customer” means any individual or entity purchasing products, services, or support tiers from an Artist or EAA.

  • “Content” means all information, media, text, images, videos, audio, designs, and other materials uploaded, posted, or transmitted via the Services.

  • “Platform” means all EAA-operated websites, applications, and digital systems used to provide the Services.

3. Eligibility & Account Registration

  • You must be at least 18 years old (or 13 years old with verified parental consent) to use the Services.

  • You agree to provide accurate, complete, and current account information and to maintain its accuracy.

  • EAA reserves the right to refuse registration, suspend, or terminate accounts at our discretion.

4. Use of Services

You agree to:

  • Use the Services solely for lawful purposes and in compliance with these Terms.

  • Respect other users and not engage in harassment, abuse, or harmful conduct.

  • Not use the Services for fraud, spamming, or any illegal activity.

You may not:

  • Post, upload, or distribute unlawful, defamatory, obscene, or infringing Content.

  • Interfere with or disrupt the integrity or performance of the Services.

  • Circumvent security features, scrape data, or use bots to access the Services.

5. Intellectual Property

5.1 Artist Content

Artists retain all ownership rights to their Content. By uploading Content, you grant EAA a non-exclusive, worldwide, royalty-free license to host, store, display, promote, reproduce, distribute, and use the Content in connection with operating, promoting, and improving the Services.

5.2 EAA Intellectual Property

All trademarks, service marks, logos, and branding of EAA remain our exclusive property. Users may not use EAA’s intellectual property without prior written consent.

6. Artist & Creator Responsibilities

Artists are solely responsible for:

  • Ensuring all Content complies with applicable laws, including copyright and trademark laws.

  • Fulfilling orders for merchandise, tickets, or other offerings in a timely and professional manner.

  • Accurately representing products, events, and services.

  • Managing their own tax reporting and compliance obligations.

7. Supporter & Customer Responsibilities

Supporters agree to:

  • Provide valid and authorized payment information.

  • Not initiate fraudulent chargebacks or payment disputes.

  • Respect the rights of Artists and other users.

8. Payments, Commissions, & Payouts

  • All payments are processed through EAA website directly.

  • EAA may charge commissions, service fees, or transaction fees, which will be disclosed at the time of transaction or in your account settings.

  • Artist payouts occur on a schedule determined by EAA, subject to payment processor timelines and applicable holds.

  • EAA is not responsible for delays caused by third-party payment processors.

9. Cancellations, Refunds, and Disputes

  • Refund policies for merchandise, events, and digital goods will be set by the Artist unless otherwise stated by EAA.

  • Certain digital products, online events, or support tier contributions may be non-refundable.

  • Disputes between Artists and Supporters should first be addressed directly between the parties before escalating to EAA.

  • EAA reserves the right to make final decisions on disputes where platform use is involved.

10. Content Standards & Moderation

  • Users must not upload Content that is illegal, harmful, infringing, or otherwise objectionable.

  • EAA reserves the right to remove Content at any time for violations of these Terms or legal requirements.

  • Copyright owners may submit takedown requests under the Digital Millennium Copyright Act (DMCA) by contacting: [Insert Contact Email].

11. Termination of Accounts

EAA may suspend or terminate accounts immediately if:

  • The user violates these Terms or applicable law.

  • Fraudulent, abusive, or harmful behavior is detected.

  • Required by law enforcement or court order.

Upon termination:

  • User access to the Services will end.

  • Pending payouts may be withheld pending investigation.

  • Certain account data may be retained as required by law.

12. Disclaimers

The Services are provided “AS IS” without warranties of any kind, express or implied. EAA does not guarantee uninterrupted or error-free operation, or that Content will always be available or accurate.

13. Limitation of Liability

To the fullest extent permitted by law:

  • EAA shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits or data.

  • EAA’s total liability for any claim shall not exceed the amount paid to EAA by the user in the 6 months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless EAA, its affiliates, officers, employees, and agents from any claims, liabilities, damages, and expenses (including legal fees) arising from:

  • Your use of the Services.

  • Your violation of these Terms.

  • Your violation of any third-party rights, including intellectual property rights.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Louisiana, USA, without regard to its conflict of laws principles.
Any disputes will be resolved exclusively in the courts located in Orleans Parish, Louisiana, unless both parties agree to arbitration or alternative dispute resolution.

16. Changes to Terms

EAA reserves the right to modify these Terms at any time. Updated Terms will be posted on our website with the effective date. Continued use of the Services constitutes acceptance of the updated Terms.
